These Terms of Service ("Terms") govern your use of services provided by Reactively, a trading name of Bruce Media Group Ltd ("we," "us," or "our"), a company registered in England and Wales (Company Registration Number: 16061949).

By engaging our services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, please do not use our services.

We provide digital marketing services including but not limited to:

• Digital PR and link building
• Search Engine Optimization (SEO)
• Pay-Per-Click (PPC) advertising
• Web development and design
• Website maintenance and hosting
• AI integration and automation
• Content creation and strategy

Service specifics will be outlined in individual project agreements or statements of work.

3.1 Fees: All fees are stated in GBP (£) unless otherwise agreed. Prices are exclusive of VAT unless stated otherwise.

3.2 Payment Schedule: Payment terms will be specified in your service agreement. Typical arrangements include upfront payments, monthly retainers, or milestone-based payments.

3.3 Late Payments: Late payments may incur interest charges at a rate of 8% above the Bank of England base rate per annum.

3.4 Disputes: Any payment disputes must be raised within 7 days of invoice receipt.

To ensure successful delivery of services, you agree to:

• Provide timely access to necessary systems, platforms, and materials
• Respond to requests for information within agreed timeframes
• Review and approve deliverables within specified timelines
• Ensure all provided content and materials do not infringe on third-party rights
• Maintain confidentiality of any login credentials or sensitive information shared

5.1 Ownership: Upon full payment, you own the final deliverables created specifically for you. We retain ownership of our methodologies, processes, and any pre-existing materials.

5.2 Usage Rights: We reserve the right to use project examples in our portfolio and marketing materials unless otherwise agreed in writing.

5.3 Third-Party Materials: Any third-party software, plugins, or materials used remain the property of their respective owners.

Both parties agree to keep confidential any sensitive business information shared during the course of our engagement. This obligation continues after the termination of services.

7.1 Service Warranty: We warrant that services will be performed with reasonable skill and care in accordance with industry standards.

7.2 No Guarantees: While we strive for excellent results, we cannot guarantee specific outcomes such as search engine rankings, traffic increases, or conversion rates, as these depend on numerous factors outside our control.

7.3 Limitation of Liability: Our liability is limited to the total fees paid for the specific services in question. We are not liable for indirect, consequential, or special damages.

8.1 By Client: You may terminate services with 30 days' written notice. You remain liable for any work completed up to the termination date.

8.2 By Us: We may terminate services immediately if payment terms are breached or if you engage in unlawful or unethical practices.

8.3 Effects of Termination: Upon termination, we will deliver all completed work upon receipt of outstanding payments.

These Terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.

We reserve the right to modify these Terms at any time. Changes will be communicated via email or through our website. Continued use of our services constitutes acceptance of updated Terms.
